Eenmanszaak to BV
From eenmanszaak to BV, worked out before you sign anything
We work out what the move means in your situation, prepare the documents and the notary, and set up your bookkeeping. You hand over your figures once.
Not sure yet?
That is the normal order. We start with a call in which we work it through with your own figures. If a BV turns out not to suit you now, you stay an eenmanszaak and you only pay for that call.
Who this is for
Four reasons people come to us
Your client will only work with a BV
A client or an intermediary wants a BV on the contract, often with a date attached. Then what counts most is how quickly it can be arranged.
Liability is starting to matter
Bigger assignments, staff on your payroll, or risk you no longer want to carry privately. In a BV that sits differently than in an eenmanszaak.
Your profit has grown
There is a point where a BV works out differently for tax. Where that point sits differs per person, because it also depends on what you need to live on.
Someone else is joining
A partner, an investor, or a plan to sell the business later. Shares are the instrument for that, and an eenmanszaak does not have them.
The whole route
What a conversion actually involves
A conversion is more than a deed. This is the order, and we keep track of it from beginning to end.
This describes how the route runs. What is sensible in your case depends on your own situation.-
We work out which route fits you
There are two ways to bring your business into a BV. On one you settle up at that moment over what is in your business; on the other that is carried forward. Which one fits depends on your figures and on what you bring across.
-
We record your intention in time
The route where you do not settle up immediately comes with a deadline for recording your intention. If we make it, the conversion can still count within the current year. We check whether that is still realistic as soon as your request arrives.
-
We prepare the contribution documents
The description of what moves across into your BV and the substantiation the notary needs. This is the part you need an accountant for, and where an online incorporation platform stops.
-
The notary executes the deed
We deliver the file complete. You do not have to chase it or work out which document is still missing.
-
Your BV enters the trade register and your eenmanszaak is closed
Including your trade name, your VAT number and handing over what is running. We go through that list with you so nothing stays behind on the old registration.
-
We set up your bookkeeping and agree your salary
In a BV you are on your own payroll. We arrange that from the first month, together with your new bookkeeping and your bank connection.
-
We file for the transition year
There is still a personal income tax return covering the part of the year you were an eenmanszaak, plus the first return of your BV. This is where doing it yourself most often gets stuck.
An honest answer
When a BV is not the right step
A BV changes nothing about whether your assignment counts as employment. That is judged on the way you actually work, not on your legal form. The Chamber of Commerce says the same.
And a BV is not automatically cheaper. It depends on your profit, on what you need to live on, and on what sits in your business in equipment, a car or financing.
We work it through before you sign anything. If it does not fit, we say so. Then you simply stay an eenmanszaak and you only pay for the call.
What we do
One quote, for the conversion and the year after it
Every line says what you are buying. Answer a few questions and it arrives within a quarter of an hour.
You can cancel at the end of any month, with one month of notice.- The advice call in which we work through your situation
- The contribution documents and the substantiation behind them
- The notary fees, passed on and shown separately on your quote
- Registering your BV and closing your eenmanszaak
- Setting up your bookkeeping and your salary as a director
- After that your fixed monthly fee, which follows from your legal form and your revenue
What we need from you
Five things, and then we can calculate
If you do not have something to hand, fill in what you do know. We ask for the rest in the call.
- Your Chamber of Commerce number
- Your figures for last year
- What sits in your business: equipment, a car, or financing
- Whether you have built up a pension reserve as an entrepreneur
- When you would prefer to move across
Curious what it means for you?
Fill in the request and you get a quote with all the amounts in it within fifteen minutes. Under "what would you like us to take on", choose converting into a BV.
Questions we get a lot
- Can my eenmanszaak simply move across, or do I have to settle up with the tax office?
- There are two routes. On one you settle up at the moment of conversion over what is in your business; on the other that is carried forward into your BV. Which route fits depends on your figures and on what you bring across. That is exactly what we work through in the advice call.
- Can it still take effect for this year?
- The route where you do not settle up immediately comes with a deadline for recording your intention. If we make it, the conversion can still count within the current year. Come to us later and it starts from the new year. We check whether the deadline is still realistic as soon as your request arrives.
- What happens to my contracts, my trade name and my bank account?
- Your contracts move across to your BV, and with some clients a signature belongs to that. You can take your trade name with you. Your business account goes into the name of the BV. We go through that list with you so nothing stays behind in the old name.
- What if the calculation shows a BV does not suit me?
- Then we say so, and you stay an eenmanszaak. In that case you only pay for the advice call. The documents and the notary only come into play if you go ahead.
- How long does it take?
- We schedule the advice call quickly. After that it depends mostly on the notary and on how complete your documents are. We keep track of the order and let you know when something is needed from you.
- Does a BV settle the question of whether I am really self-employed?
- No. Whether your assignment counts as employment is judged on the way you actually work, not on your legal form. The Chamber of Commerce says the same. What a BV does change is your liability, how you pay yourself and how your profit is taxed.
